General
AustroByte GmbH
- AustroByte GmbH is a distributor of electronic components.
- These general terms and conditions of sale (GTC) apply to all orders accepted by AustroByte GmbH (seller) and apply to all goods and services delivered to the buyer. To the extent that these GTC do not contain applicable provisions, the General Terms and Conditions of Delivery of the Electrical and Electronics Industry of Austria (AEEI) and Austrian law shall apply in addition. Buyer acknowledges and agrees that all terms and conditions set forth in any purchase order or other document submitted by Buyer are hereby rejected by Seller and superseded by the GTC, which shall govern in all respects. Buyer's acceptance of the Goods and Services shall constitute final acceptance of the GTC.
Conclusion of Contract, Cost Estimate, Scope of Delivery
Quotations and Scope
Seller's quotations are subject to change. Offer and project documents remain Seller's property and cannot be reproduced or shared without consent. Cost estimates are non-binding and may incur a fee unless Seller is engaged to perform all services listed. Contracts are confirmed upon Seller's order confirmation or goods delivery.
Tariffs and Terms of Payment
Pricing and Payment
Prices are in EUR, exclusive of VAT, shipping, insurance, and other services. Payments are due within 30 days, with interest on arrears applied to late payments. Seller reserves the right to deliver orders only with advance payment if Buyer defaults.
Retention of Title
Ownership and Restrictions
Seller retains title to goods until full payment. Upon processing into new products, Seller and Buyer share ownership proportionate to processed values. Unauthorized resale of goods is prohibited unless agreed in writing by Seller.
Time of Delivery
Delivery Timeline
Delivery dates are binding only if confirmed by Seller and may be extended due to external delays. Withdrawal from the contract due to delayed delivery requires registered mail notification.
Fulfillment, Transfer of Risk, Acceptance
Delivery Conditions
Terms are "ex works"; risk transfers to Buyer once goods leave Seller's warehouse. In case of Buyer's default in acceptance, Seller may charge a storage fee and take further action.
Warranty
Product Inspection
Buyer must inspect products and report defects within 10 days of delivery. Warranty period is 12 months, and responsibility for defects does not extend to wear, improper use, or external interventions.
Liability
Damage Limitation
Seller's liability is limited to proven intent or gross negligence, excluding slight negligence and consequential damages. Maximum liability is USD 1,000,000.
Intellectual Property, Confidentiality
Ownership of Materials
All provided documents and intellectual property remain Seller's. Buyer agrees to confidentiality of information received during the business relationship for 3 years after termination.
Applicable Law and Place of Jurisdiction
Legal Framework
Austrian law governs the relationship, with jurisdiction in Seller's registered office location. The UN Convention on Contracts and conflict laws under Austrian law do not apply.
